What are the investor limitations?

Individual investors are limited in the amounts they are allowed to invest in all Regulation CF offerings over the course of a 12-month period: ● If either of an investor’s annual income or net worth is less than $107,000, then the investor’s investment limit is the greater of: ● $2,200 or ● 5 percent of the lesser of the investor’s annual income or net worth. ○ If both annual income and net worth are equal to or more than $107,000, then the investor’s limit is 10 percent of the lesser

We help independent filmmakers accelerate their pre-production stage 10x. In short, FilmCapital provides executive producer services to select film projects. You start fundraising in 6 days with a scalable format for distribution. FilmCapital's purpose is to empower independent filmmakers. We aim to optimize the creative potential in each project by bypassing long bureaucratic processes. Either way, you join the FilmCapital digital community! Stay tuned for digital networking events.

What is FilmCapital?

We help everyone invest as little as $1,000 in highly-vetted film productions. We imagine film productions as startups with faster exit strategies. You are investing in a film production with the hope of earning a return through sales within 6 to 18 months. You decide which productions are worthy of funding after studying offering materials. Either way, you join the FilmCapital digital community! Stay tuned.

How can a filmmaker apply to raise on FilmCapital?

Filmmakers who would like to be considered by our team can submit a deck and answer some basic questions by clicking the "Start Your Raise" button on the main page After a filmmaker applies, our team will review their initial application and will follow up soon thereafter. Please just note that FilmCapital is a vetted platform, meaning that only those companies that have satisfactorily completed our independent due diligence process.

How can users cancel investments?

Until an investment has been completed and formally queued up for a closing, users can cancel an investment. If a user would like to cancel an investment via user dashboard

What happens if the issuer reaches the target offering amount prior to the deadline?

The issuer can choose to close the round or keep raising funds until the closing date.

Is there assurance of liquidity?

There is no assurance of liquidity after 1 year in accordance with Reg. CF Rule 302(b)(1)(iii).

What types of offerings are hosted?

FilmCapital.io offers investments in the equity securities of issuers involved in independent filmmaking and content creation. Each of the issuers offering their securities on FilmCapital.io is carefully vetted to ensure they have relevant prior experience in content production.

How does the filmmaker onboarding process work?

FilmCapital.io works with each issuer to assist them in preparation of the offering materials. Offerings posted on FilmCapital.io must include all of the information required by the SEC under Regulation Crowdfunding. This includes basic identifying information about the issuer, the business and anticipated business plan of the issuer, the people operating the issuer, and the financial condition of the issuer. Investors may decide that this information is not enough to make a decision, which is w

How much can I invest?

Please refer to your “annual investment limit” which clearly explains that the “investment limit” pertains to the aggregate amount of securities during the 12-month period preceding the date of the current transaction purchased across all Regulation CF platforms and not just FilmCapital.io in accordance with Reg. CF 100(2).

What happens after the offer is live?

Each offering is listed on FilmCapital.io for a set amount of days. Any US resident can make an investment through the portal. Investments are held in escrow until a project successfully reaches its funding goal. If the project does not reach its funding goal, funds are returned to investors. If a project successfully reaches its funding goal within the offering timeline, funds are transferred to the issuer and the investor is issued securities.

What's the risk involved in investing in content?

Investments in Regulation Crowdfunding offerings are speculative and involve a high degree of risk, in part because the issuers are often early-stage companies with little or no operating history. Investments on FilmCapital.io may not include voting rights and investors will have no role in directing management. Investors who cannot afford to lose their entire investment should not invest. Investors should consult their own financial advisor prior to making an investment.

Are there any restrictions in transferring securities?

Securities purchased in Regulation Crowdfunding transactions generally cannot be resold for a period of one year, unless the securities are transferred: (1) to the issuer of the securities; (2) to an “accredited investor”; (3) as part of an offering registered with the Commission; or (4) to a member of the family of the purchaser or the equivalent, to a trust controlled by the purchaser, to a trust created for the benefit of a member of the family of the purchaser or the equivalent, or in connec
